1. Company Information

H and W Steam Institute Inc is a 501(c)(3) nonprofit organization incorporated in the State of Georgia, United States. Our mission is to advance education, research, and innovation in science, technology, engineering, arts, and mathematics (STEAM).

2. Services Provided

H and W Steam Institute Inc ("Company," "we," "us," or "our") provides AI-powered video creation services through our platform located at quickadvideo.com (the "Platform"). Our services enable users ("Users," "you," or "your") to create and generate video content using artificial intelligence technology.

The Platform offers various AI video generation tools including but not limited to:

• UGC Express video generation
• Cinematic Ads creation
• Hook Stories
• Custom AI avatars and character creation
• Product video creation
• AI-generated voiceovers and scripts

Access to services is provided through subscription plans and credit-based systems as described on the Platform.

3. Acceptance of Terms

By accessing, registering for, or using the Platform and our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms"), as well as our Privacy Policy.

If you do not agree to these Terms, you must not access or use the Platform or services. Your continued use of the Platform constitutes acceptance of any modifications to these Terms.

These Terms constitute a legally binding agreement between you and H and W Steam Institute Inc.

4. User Eligibility

To use the Platform and services, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Have the legal capacity to enter into binding contracts
• Provide accurate and complete registration information
• Maintain the security and confidentiality of your account credentials

• Keep your password secure and confidential
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

You may not share your account credentials or transfer your account to another person without our prior written consent.

6. Subscription Plans and Credits

Our services are offered through subscription plans and a credit-based system:

Subscription Plans

We offer various subscription tiers with different features and credit allocations. Subscription fees are billed on a recurring basis (monthly or annually) as selected during purchase.

Credits System

Credits are used to generate videos and access premium features. The number of credits required varies based on:

• Video length and quality
• AI model selected (Sora, Veo, etc.)
• Additional features used (voiceovers, avatars, etc.)

Trial Credits

New users may receive trial credits to explore the Platform. Trial credits are subject to specific terms and expiration dates as communicated during registration.

Credit Purchases

Additional credits can be purchased as needed. Purchased credits do not expire unless otherwise specified. Unused subscription credits do not roll over to subsequent billing periods unless explicitly stated in your plan.

7. Payment and Billing

Payment Processing

All payments are processed through Stripe, our third-party payment processor. By providing payment information, you authorize us to charge your designated payment method for all fees incurred.

Pricing

All prices are listed in United States Dollars (USD) and are subject to change with reasonable notice. Current pricing is displayed on the Platform at the time of purchase.

Recurring Billing

Subscription fees are billed on a recurring basis according to your selected billing cycle. Your subscription will automatically renew unless cancelled before the next billing date.

Failed Payments

If payment fails, we may suspend or terminate your access to the Platform. You remain responsible for any outstanding fees.

Taxes

You are responsible for all applicable taxes. If we are required to collect or pay taxes, such amounts will be charged to you in addition to subscription fees.

8. Refunds and Cancellations

Subscription Cancellations

You may cancel your subscription at any time through your account settings. Cancellation will be effective at the end of your current billing period. You will retain access to paid features until that time.

Refund Policy

All sales are final. We do not provide refunds for:

• Subscription fees (monthly or annual)
• Credit purchases
• Generated videos or consumed credits
• Partial billing periods

Exceptions may be made at our sole discretion in cases of technical errors, billing mistakes, or other circumstances we deem appropriate.

No Rollover

Unused subscription credits do not carry over to subsequent billing periods unless explicitly stated in your subscription plan. Upon cancellation, all remaining credits will be forfeited.

9. User Conduct and Prohibited Uses

You agree not to use the Platform or services for any unlawful purpose or in any way that violates these Terms. Prohibited uses include, but are not limited to:

• Creating content that is defamatory, obscene, pornographic, abusive, or hateful
• Impersonating any person or entity
• Creating deepfakes or misleading content without proper disclosure
• Violating any intellectual property rights
• Uploading malicious code, viruses, or harmful software
• Attempting to hack, disrupt, or gain unauthorized access to the Platform
• Scraping or data mining without authorization
• Using the Platform for spam or unsolicited advertising
• Creating content that promotes violence, discrimination, or illegal activities
• Violating any applicable laws or regulations

We reserve the right to investigate violations and take appropriate action, including suspension or termination of your account, removal of content, and cooperation with law enforcement.

10. Intellectual Property Rights

Platform Ownership

The Platform, including all software, designs, text, graphics, logos, and other content, is owned by H and W Steam Institute Inc and protected by United States and international copyright, trademark, and other intellectual property laws.

User-Generated Content

You retain ownership of content you upload to the Platform (scripts, prompts, images, etc.). By uploading content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your content solely for the purpose of providing and improving our services.

AI-Generated Videos

Videos generated through the Platform are licensed to you for commercial and personal use, subject to these Terms. However, due to the nature of AI generation, we cannot guarantee exclusivity. Other users may generate similar content using similar inputs.

You may not:

• Resell, redistribute, or license generated videos as stock footage
• Use generated content to train other AI models
• Remove watermarks or attribution (if required by your plan)
• Claim sole authorship of AI-generated content where disclosure is required by law

Copyright Infringement

If you believe content on the Platform infringes your copyright, please contact us at support@quickadvideo.com with detailed information about the alleged infringement. We will investigate and take appropriate action in accordance with the Digital Millennium Copyright Act (DMCA).

11. Privacy and Data Protection

Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Platform, you consent to our collection and use of your information as described in the Privacy Policy.

We implement reasonable security measures to protect your data, but cannot guarantee absolute security. You are responsible for maintaining the confidentiality of your account credentials.

12. Disclaimers and Warranties

"As Is" Service

THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

No Guarantee of Results

We do not guarantee that:

• The Platform will be uninterrupted, secure, or error-free
• Generated videos will meet your specific requirements or expectations
• All features will be available at all times
• Defects will be corrected
• The Platform is free of viruses or other harmful components

AI Limitations

AI-generated content may contain inaccuracies, artifacts, or unexpected results. You are solely responsible for reviewing and verifying all generated content before use.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, H AND W STEAM INSTITUTE INC SHALL NOT BE LIABLE FOR:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
• DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
• STATEMENTS OR CONDUCT OF THIRD PARTIES ON THE PLATFORM
• ANY CONTENT OBTAINED FROM THE PLATFORM
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE PLATFORM OR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100 USD), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless H and W Steam Institute Inc, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

• Your use or misuse of the Platform or services
• Your violation of these Terms
• Your violation of any rights of third parties, including intellectual property rights
• Content you upload or generate through the Platform
• Your breach of any applicable laws or regulations

This indemnification obligation will survive termination of these Terms and your use of the Platform.

15. Termination

Termination by You

You may cancel your subscription at any time through your account settings. Your cancellation will take effect at the end of your current billing period.

Termination by Us

We may suspend or terminate your access to the Platform immediately, without prior notice, if:

• You violate these Terms
• We are required to do so by law
• Your account has been inactive for an extended period
• We believe your actions may harm us or other users

Effect of Termination

Upon termination, your right to use the Platform ceases immediately. You should download any content you wish to retain before termination, as we are not obligated to maintain or provide access to your content after termination.

16. Dispute Resolution and Arbitration

Informal Resolution

Before filing a claim, you agree to contact us at support@quickadvideo.com to attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith.

Binding Arbitration

If informal resolution fails, any dispute arising from or relating to these Terms or the Platform shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

The arbitration will be conducted in English in the State of Georgia, United States. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver

YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY AND NOT AS PART OF A CLASS ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

17. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law principles.

Any disputes not subject to arbitration shall be brought exclusively in the state or federal courts located in Georgia, and you consent to personal jurisdiction in such courts.

18. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

• Posting the updated Terms on the Platform
• Updating the "Effective Date" at the top of these Terms
• Sending an email notification (if applicable)

Your continued use of the Platform after modifications take effect constitutes acceptance of the updated Terms. If you do not agree to the modifications, you must stop using the Platform and cancel your subscription.

19. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and H and W Steam Institute Inc regarding the Platform and services.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

Force Majeure

We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, pandemics, internet failures, or government actions.
